These Terms of Service ("Terms") govern your use of the DataNova B.V. website and cybersecurity services. By accessing our website, engaging our services, or entering into a service agreement with DataNova, you agree to be bound by these Terms.

User Obligations

When using DataNova's services or website, you agree to:

  • Cooperate with DataNova personnel during service delivery
  • Maintain the confidentiality of any access credentials or sensitive information

All intellectual property rights in DataNova's website, services, methodologies, reports, and materials remain the exclusive property of DataNova B.V. or its licensors. This includes but is not limited to:

  • Trademarks, logos, and brand materials
  • Security reports and analysis frameworks
  • Training materials and documentation

You are granted a limited, non-exclusive, non-transferable licence to use our services and access our website for your business purposes. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

Any feedback, suggestions, or improvements you provide regarding our services may be used by DataNova without compensation or attribution.

Confidentiality

DataNova recognises the sensitive nature of cybersecurity information and maintains strict confidentiality protocols. We will:

  • Protect all client information and data with appropriate security measures
  • Limit access to client information to authorised personnel only
  • Not disclose client information to third parties without consent
  • Use client information solely for service delivery purposes

Payment Terms

Payment terms for DataNova's cybersecurity services are as follows:

  • All fees are quoted in Euros (EUR) unless otherwise specified
  • Payment terms are typically 30 days from invoice date
  • Late payment charges may apply as specified in service agreements
  • All prices are exclusive of applicable VAT and taxes
  • Refund policies will be outlined in individual service agreements

DataNova reserves the right to suspend services for non-payment and to recover collection costs and legal fees for overdue accounts.

Limitation of Liability

DataNova provides cybersecurity services with professional care and expertise. However, given the nature of cybersecurity threats and the limitations of security testing, we cannot guarantee complete security or prevention of all cyber incidents.

To the maximum extent permitted by law, DataNova's liability for any claims arising from our services is limited to the total fees paid for the specific services that gave rise to the claim. We shall not be liable for:

  • Indirect, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from third-party cyber attacks
  • Issues arising from client's failure to implement recommendations
  • Force majeure events beyond our reasonable control

This limitation of liability does not apply to damages caused by DataNova's gross negligence or wilful misconduct, or where prohibited by applicable law.

Data Protection and Privacy

DataNova is committed to protecting personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable privacy laws. Our data processing practices are detailed in our Privacy Policy.

When providing cybersecurity services, DataNova may process personal data as a data processor on behalf of clients. In such cases, data processing terms will be specified in separate data processing agreements as required by GDPR.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Dutch courts.

For international clients, specific governing law and jurisdiction clauses may be included in individual service agreements to reflect the cross-border nature of cybersecurity services.

Termination

Either party may terminate service agreements in accordance with the specific termination clauses outlined in individual contracts. DataNova reserves the right to terminate or suspend access to our website and services immediately if:

  • You breach these Terms of Service
  • Your account becomes overdue for payment
  • We reasonably believe your actions may harm our business or other clients
  • Required by law or regulatory authorities

Upon termination, DataNova will return or securely destroy client data as specified in service agreements, subject to legal retention requirements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.
